Corporate/M&A/Securities/Finance Transactional Attorney
We are seeking an exceptionally skilled Corporate/M&A/Securities/Finance Transactional Attorney to join our prestigious law firm based in Boca Raton, FL. With a focus on delivering top-tier legal services, the ideal candidate will bring a wealth of knowledge and experience in corporate law, mergers and acquisitions, securities, and finance transactions. Essential Duties and Responsibilities:

• 
  
• Lead and manage a variety of corporate transactions, including mergers, acquisitions, divestitures, and restructurings.
  
• Advise on complex securities issues and compliance with applicable securities laws and regulations.
  
• Conduct detailed due diligence to identify and address potential legal risks in transactions.
  
• Negotiate, draft, and review transaction documents to ensure the protection of the client's interests.
  
• Collaborate with other attorneys and professionals within the firm to coordinate transaction strategies.
  
• Provide training and guidance to junior attorneys and support staff.
  
• Maintain current knowledge of legislation and regulatory rules that affect corporate practice.
  
  Minimum Position Qualifications:
  
  • 
    
  • Juris Doctor degree from an accredited law school.
    
  • At least 6 years of substantive experience in corporate law, mergers and acquisitions, securities, and finance.
    
  • Must be admitted to the bar in the jurisdiction of practice.
    
  • Strong legal analysis skills and deep understanding of corporate structures and governance.
    
  • Demonstrated ability to handle high-pressure situations and tight deadlines.
    
  • Excellent negotiation and interpersonal communication skills.
    
    Preferred Qualifications:
    
    • 
      
    • Experience in a large law firm or corporate legal department preferred.
      
    • Specialized knowledge in particular sectors such as technology, healthcare, or real estate.
      
    • Experience with cross-border transactions and working knowledge of international corporate laws.
      
    • Proven track record of business development and client relationship management.
      
    • Recognition in legal publications or awards in the field of corporate law.
